Mesa Dynamics, LLC Software License Agreement For Amnesty™ Widget Browser PLEASE READ THIS SOFTWARE LICENSE AGREEMENT CAREFULLY BEFORE USING THE SOFTWARE. 1. Agreement. This software license agreement (this "Agreement") is between you and Mesa Dynamics, LLC ("Mesa Dynamics") and governs your use of the Amnesty Widget Browser software and accompanying documentation (the "Software"). You signify your agreement to be bound by the terms of this Agreement by using the Software and/or by clicking the "Agree" button. If you do not agree to the terms of this Agreement, do not use the Software and click the "Disagree" button. 2. Ownership. Mesa Dynamics is the sole and exclusive owner and/or rights holder of the Software and all intellectual property relating to the Software including, without limitation, the copyright in the Software and the trademark AMNESTY. 3. License. Mesa Dynamics grants to you a limited, non-exclusive, license to use the Software in accordance with the terms of this Agreement. The Software, whether on disk, in read only memory, on any other media or in any other form is licensed, not sold, to you by Mesa Dynamics for use only in accordance with the terms of this Agreement. Although you may own the media on which the Software is recorded, Mesa Dynamics retains ownership of the Software itself. The terms of this Agreement shall govern any upgrades to the Software released by Mesa Dynamics that replace and/or supplement the original Software, unless such upgrade is accompanied by a separate software license agreement, in which case, the terms of that agreement will govern. Mesa Dynamics retains all right, title and interest in and to the Software and all of the intellectual property relating to the Software. Any rights not explicitly granted to you herein are reserved by Mesa Dynamics. 4. Permitted Use And Restrictions. You may use the Software for your personal, non-commercial use. You shall not use the Software for any other purpose. You may not reverse engineer, disassemble, decompile or translate the Software, or otherwise attempt to derive the source code of the Software. If applicable law permits such activities, despite your agreement to refrain from such activities, you must promptly disclose to Mesa Dynamics any information so discovered and such information shall be deemed to be the confidential proprietary information of Mesa Dynamics. 5. Termination. This Agreement is effective until terminated. Mesa Dynamics may terminate this Agreement effective upon provision of notice to you (or upon a reasonable attempt to provide notice to you) if you fail to comply with any provision of this Agreement. Upon the termination of this Agreement for any reason, you must immediately cease all use of the Software and destroy all copies, full or partial, of the Software. 6. Disclaimer Of Warranties / Limitation Of Liability. THE SOFTWARE IS PROVIDED BY MESA DYNAMICS "AS IS" AND ANY EXPRESS OR IMPLIED WARRANTIES INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARE DISCLAIMED. IN NO EVENT SHALL MESA DYNAMICS, ITS EMPLOYEES, OFFICERS OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, LOSS OF USE, DATA OR PROFITS OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) RELATING TO OR ARISING IN ANY WAY OUT OF THE USE OF THIS SOFTWARE, EVEN IF MESA DYNAMICS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
